Prolinkr Affiliate Agreement

This Affiliate Agreement (“Agreement”) is a binding agreement between you (“Affiliate”) and Prolinkr Pty Ltd (“Prolinkr”). By enrolling in the Prolinkr affiliate program, you agree to the terms below.

1. Purpose

This Agreement governs your participation in the Prolinkr affiliate program, enabling you to refer customers to Prolinkr’s partnered service providers in exchange for commissions. Participation requires adherence to the terms and conditions set forth in this Agreement.

2. Affiliate Responsibilities

You must act professionally, ethically, and in compliance with all applicable laws and regulations.
All referrals must be submitted exclusively through the Prolinkr platform to be eligible for commissions.
You must provide accurate and truthful information to Prolinkr and its partners at all times.
Any complaints or disputes related to Prolinkr’s services or its partners must be referred to Prolinkr for resolution within one (1) business day.

3. Prohibited Activities

To protect Prolinkr and its partners, Affiliates must not:

1. Solicit Service Providers Directly:

• Affiliates are strictly prohibited from contacting Prolinkr’s service provider partners directly for any reason, including to negotiate commissions, make referrals, or establish independent business arrangements.

2. Circumvent the Prolinkr Platform:

• Affiliates may not bypass the Prolinkr platform to submit leads, receive commissions, or interact with service providers. All lead referrals must be processed through the Prolinkr website.

3. Replicate Prolinkr’s Business Model:

• Affiliates may not create, promote, or participate in any competing business, platform, or affiliate program that mimics Prolinkr’s operations.

4. Misrepresentations:

• Affiliates must not make false or misleading claims about Prolinkr, its partners, or its services, including guarantees of earnings or income.

5. Unethical Behavior:

• Affiliates must not engage in deceptive or unethical practices, including unauthorized use of Prolinkr branding, logos, or materials.

4. Commissions

Commissions are paid on successfully converted leads submitted through the Prolinkr platform.
Commission rates, structures, and payment schedules are detailed in Prolinkr’s affiliate portal and are subject to change at Prolinkr’s discretion.
Affiliates are responsible for ensuring their banking details are accurate. Prolinkr is not liable for delays caused by incorrect information.

5. Non-Solicitation

During your participation in the program and for a period of six (6) months after termination, you agree:

Not to solicit, entice, or encourage Prolinkr’s service provider partners for business outside of Prolinkr.
Not to encourage customers to cancel, bypass, or terminate contracts with Prolinkr’s service providers.
Not to recruit or engage employees, affiliates, or representatives of Prolinkr or its partners without prior written approval from Prolinkr.

7. Access to Prolinkr Platform

Affiliates are granted a non-exclusive, non-transferable license to access and use the Prolinkr platform solely for submitting referrals.
Affiliates must not:
Share or disclose login credentials.
Attempt to reverse-engineer, replicate, or tamper with the Prolinkr platform.
Upload any harmful content, including viruses or malicious software.

Prolinkr may terminate your participation in the affiliate program under the following conditions:

1. Immediate termination for:

• Soliciting service providers directly.

• Circumventing the Prolinkr platform to arrange referrals or commissions.

• Engaging in unethical, illegal, or prohibited activities.

2. Termination with notice:

• Prolinkr may terminate your participation at its discretion by providing thirty (30) days’ written notice.

Upon termination:

• Affiliates must cease all use of Prolinkr branding, materials, and the platform.

• All pending commissions may be forfeited if termination results from a breach of this Agreement.

14. General Provisions

Modification: Prolinkr reserves the right to update this Agreement at any time. Affiliates will be notified of changes via the platform or email.
Assignment: Affiliates may not transfer or assign their participation in the program without prior written approval.
Governing Law: This Agreement is governed by the laws of New South Wales, Australia.

Acknowledgment

By enrolling in the Prolinkr affiliate program and checking the agreement box, you acknowledge that you have read, understood, and agree to these terms and conditions.
